1. Definitions and Interpretation

1.1. ‘Area’ means the commercial premises or residential property at the address specified in the Quote, Proposal, or email communication.
1.2. ‘Charges’ mean the amounts set out in the Quote, Proposal, or email communication.
1.3. ‘Cleaning Services’ means the cleaning services as detailed in the Quote, Proposal, or email communication.
1.4. ‘Client’, ‘you’ or ‘your’ means the person, firm, company, or organisation whose details appear in the Quote, Proposal and/or accompanying email communication.
1.5. ‘Commencement Date’ means the date set out in the Specification or first visit date.
1.6. ‘Company’, ‘Dewpro Cleaning Services’, ‘we’, ‘us’, or ‘our’ means Dewpro Cleaning Services.
1.7. ‘Commercial Client’ means a Client contracting for services at business premises.
1.8. ‘Contractual Term’ means the period during which Dewpro Cleaning Services shall provide the Cleaning Services.
1.9. ‘Domestic Client’ or ‘Residential Client’ means a Client contracting for services at a private residential home.
1.10. ‘Parties’ means Dewpro Cleaning Services and the Client.
1.11. ‘Quote’ means our written quotation, proposal, or email communication for the provision of services.
1.12. ‘Residence’ means the private residential property at the address specified in the Quote.

2. Cleaning Services

2.1. General Provision of Services

Dewpro Cleaning Services shall provide the Cleaning Services at the Area in consideration of the Client paying the Charges. We shall supply competent and suitably trained personnel to perform the Cleaning Services to a professional industry standard.

2.2. Commercial Cleaning Services (Business Clients)

2.2.1. These clauses apply specifically to Commercial Clients.
2.2.2. Unless expressly agreed otherwise in writing, all quotations provided to Commercial Clients are based on the Client supplying the necessary cleaning equipment, materials, consumables, and access to utilities (including electricity and hot water).
2.2.3. Where the Client requests Dewpro Cleaning Services to supply cleaning equipment, materials, or consumables, this shall be subject to prior written agreement and will incur additional charges.

2.3. Residential Cleaning Services (Domestic Clients)

2.3.1. These clauses apply specifically to Domestic/Residential Clients.
2.3.2. Assigned Cleaner: We aim to assign a regular cleaner or cleaning team to your Residence to ensure consistency and familiarity. We will notify you of the name of your assigned cleaner prior to the Commencement Date.
2.3.3. Changes to Cleaner: While we endeavour to provide the same cleaner at each visit, circumstances such as staff illness, holiday, or employment changes may require a change.
- (a) Planned Changes: Where a permanent change to your assigned cleaner is necessary, we will notify you in writing via email no less than 7 days in advance.
- (b) Temporary Changes: For short-term cover (e.g., sickness, holiday), we may send a different team member. We will inform you of this cover arrangement where possible.
- (c) Client Request for Change: If you are not satisfied with the assigned cleaner for any reason, you have the right to request a change. Such requests should be made via email to [Your Email Address] or by calling our customer service team at [Your Phone Number]. We will use reasonable efforts to accommodate this request.
2.3.4. Equipment and Materials: Unless otherwise agreed in our Quote, the Client is responsible for providing their own cleaning equipment (e.g., vacuum cleaner, mop) and materials (e.g., cleaning solutions). We recommend this to ensure site familiarity and cost efficiency. If we agree in writing to supply equipment, this will be subject to separate agreement.

3. Client Obligations

3.1. The Client shall provide free of charge:
(a) Adequate lighting, electricity, hot water, and other utilities reasonably required;
(b) Safe storage space for any agreed equipment;
(c) Safe and unrestricted access to the premises at the agreed times.
3.2. The Client agrees to pay additional charges for wasted journeys due to failure to provide access, cancellations without sufficient notice, or delays caused by the Client.
3.3. The Client shall obtain and maintain all necessary licences, permissions, and consents prior to the Commencement Date.
3.4. Client Conduct: Abusive, harassing, discriminatory, or threatening behaviour toward any employee or representative of Dewpro Cleaning Services will result in the immediate suspension of services and termination of this Agreement without refund.

4. Charges and Payment

4.1. Charges are exclusive of VAT (where applicable). Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.
4.2. If payment is not made within 30 days of the due date, Dewpro Cleaning Services may:
(a) Charge interest at 8% above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998;
(b) Suspend all services immediately until payment is received;
(c) Require advance payment for any future services.
4.3. Dewpro Cleaning Services may increase Charges with no less than 14 days’ written notice to reflect increased operational costs, wage increases, market conditions, or regulatory changes.

5. Cancellation and Amendments

5.1. Cancellation by the Client

5.1.1. Commercial Clients: For commercial bookings, cancellation must be received by [Insert Time, e.g., 12:00 noon] on the working day prior to the scheduled clean. Late cancellations or failure to provide access may result in a charge of up to 50% of the service fee.
5.1.2. Domestic/Residential Clients:
- (a) We understand that plans change. However, because our residential cleaners plan their schedules around your visit, we require a minimum of 48 hours’ notice for any cancellation.
- (b) Any cancellation received less than 48 hours before the scheduled start time will be considered a late cancellation and will incur a charge of £50 to cover staff costs and lost time.
- (c) Failure to provide access to the property at the agreed time without prior cancellation ("no-show") will also incur the £50 late cancellation charge.

5.2. Cancellation by Dewpro Cleaning Services

We reserve the right to cancel or reschedule a booking due to unforeseen circumstances (e.g., staff illness, extreme weather). In such cases, we will notify you as soon as possible and offer to reschedule the service at no cost to you.

6. Communication and Queries

6.1. For any queries, feedback, or challenges regarding the Cleaning Services, you must communicate with us via email at [Your Email Address] or by calling our customer service team at [Your Phone Number].
6.2. We request that you do not discuss operational changes or complaints directly with the cleaner on-site, but rather direct them through our office so we can manage them efficiently and keep accurate records.

7. Liability and Exclusions

7.1. Any claim for loss or damage must be notified to us in writing within 72 hours of the service taking place.
7.2. Dewpro Cleaning Services shall not be liable for:
(a) Pre-existing damage, stains, or wear and tear;
(b) Damage caused by faulty or inadequate equipment supplied by the Client;
(c) Incomplete services due to lack of utilities (hot water, electricity) or safe access;
(d) Indirect or consequential losses (loss of earnings, etc.).
7.3. Our total liability (excluding death or personal injury caused by negligence) shall not exceed the total annual Charges paid or payable under the Agreement.
7.4. Dewpro Cleaning Services maintains Public Liability and Employers’ Liability Insurance of £10,000,000.

8. Confidentiality and Data

8.1. Both Parties shall keep confidential information private.
8.2. Unless withdrawn in writing, Dewpro Cleaning Services may take non-identifiable photographs for internal proof of service and marketing purposes only.
8.3. Confidentiality obligations survive termination for one year.

9. Subcontracting

9.1. Dewpro Cleaning Services may use subcontractors where appropriate to fulfil the Services and remains fully responsible for their performance.

10. Termination

10.1. This Agreement begins on the Commencement Date and continues until terminated.
10.2. Termination by Notice:
(a) For Commercial Clients, either Party may terminate by giving not less than two months’ written notice.
(b) For Domestic/Residential Clients, either Party may terminate by giving not less than [e.g., 14 or 30] days’ written notice.
10.3. Termination for Breach: Either Party may terminate for material breach if not remedied within 14 (for domestic) or 30 (for commercial) days of written notice.
10.4. Termination by Company: We may terminate immediately if payment is more than 30 days overdue or if a Client breaches the Non-Solicitation clause (Section 11).

11. Non-Solicitation of Staff (Direct Engagement)

11.1. No Poaching: You acknowledge that our staff are a valuable asset trained by us. You agree that during the term of this Agreement and for a period of 12 months after its termination, you will not, directly or indirectly, solicit, employ, or engage any cleaner, sub-contractor, or employee introduced to you by Dewpro Cleaning Services.
11.2. Referral Fee: If you breach this clause and directly engage (whether under a contract of employment or for services) any such individual, you agree to pay Dewpro Cleaning Services a referral/recruitment fee of £[Insert Amount, e.g., 2,000] or 20% of that individual's gross annual remuneration in the first year of engagement, whichever is higher. This compensates us for the loss of the client relationship and the cost of recruitment and training.

12. General

12.1. Force Majeure: Neither Party shall be liable for delays beyond reasonable control.
12.2. Entire Agreement: This Agreement supersedes prior agreements and representations.
12.3. Amendments: Amendments must be in writing and signed by both Parties. We reserve the right to update these Terms with reasonable notice.
12.4. Governing Law: The Agreement is governed by English law and subject to the exclusive jurisdiction of the English courts.

13. Trademarks

The Dewpro Cleaning Services name and logo are trademarks of Dewpro Cleaning Services. Unauthorised use is prohibited.
